1. Acceptance of Terms

Welcome to Pithy. These Terms of Use ("Terms") govern your access to and use of the Pithy service, including our website (pithy.co), web application, mobile applications for iOS and Android, API, and any related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Pithy is a personal knowledge management and memory augmentation platform that:

  • Captures and organizes your personal information, activities, and life data
  • Integrates with third-party services (health apps, calendars, music services, etc.)
  • Provides AI-powered search, insights, and chat capabilities
  • Syncs data across web and mobile applications
  • Enables personal memory and context for AI interactions

3. Eligibility

You must be at least 13 years old (or 16 in the European Economic Area) to use Pithy. By using the Service, you represent and warrant that you meet this age requirement.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

Account Creation

To use Pithy, you must create an account by providing:

  • A valid email address
  • Account credentials (password or OAuth authentication)
  • Any other required information

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

You agree to:

  • Use a strong, unique password
  • Not share your account credentials with others
  • Enable multi-factor authentication when available
  • Keep your contact information up to date

API Keys

If you create API keys:

  • You are responsible for securing and managing them
  • Treat API keys like passwords (do not share publicly)
  • We are not liable for unauthorized use of your API keys
  • You can revoke API keys at any time

5. Acceptable Use

You May

  • Use Pithy for personal knowledge management and memory augmentation
  • Connect third-party services you have authorized access to
  • Store personal notes, documents, and life data
  • Use the API for personal automation and integrations
  • Share specific vaults with other Pithy users (when this feature is available)

You May Not

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Use the Service to store or share illegal content
  • Attempt to reverse engineer or decompile the Service
  • Use the Service to transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service for any form of harassment, abuse, or hate speech
  • Scrape or harvest data from other users without permission
  • Use automated tools to create accounts or abuse the Service
  • Resell or redistribute the Service without our permission
  • Use health data for purposes other than personal health and fitness insights
  • Store child sexual abuse material (CSAM) or other illegal content
  • Violate others' privacy by uploading their personal information without consent

Content Restrictions

You agree not to upload, store, or share content that:

  • Is illegal, harmful, or violates third-party rights
  • Contains malware or malicious code
  • Infringes copyright, trademark, or other intellectual property
  • Violates privacy or confidentiality obligations
  • Is defamatory, obscene, or pornographic
  • Constitutes harassment, hate speech, or violence

6. Mobile Applications

iOS App

The Pithy iOS app:

  • Is distributed via TestFlight or the Apple App Store
  • Requires iOS 16 or later
  • Requests permissions for HealthKit, Location, Camera, Microphone, Notifications, and Calendar
  • All permissions are optional and can be managed in iOS Settings
  • HealthKit data is governed by Apple's HealthKit Terms and our Privacy Policy

Android App

The Pithy Android app:

  • May be distributed via APK download, GitHub Releases, or Google Play Store
  • Requires Android 10 (API 29) or later
  • Requests permissions for Health Connect, Location, Camera, Microphone, Notifications, Notification Listener, Usage Stats, and Calendar
  • All permissions are optional and can be managed in Android Settings
  • Health Connect data is governed by our Privacy Policy

App Updates

  • We may release updates to improve features, fix bugs, or address security issues
  • Some updates may be required for continued use
  • TestFlight and sideloaded apps do not automatically update
  • You are responsible for keeping the app up to date

7. Health Data Terms

Permitted Uses of Health Data

Health and fitness data collected through Apple Health, Android Health Connect, or Fitbit integrations may only be used:

  • To provide you with personal health and fitness insights
  • To track your activities and wellness over time
  • To integrate health data into your personal knowledge base
  • For features you explicitly enable that use health data

Prohibited Uses of Health Data

We will never:

  • Use your health data for advertising or marketing
  • Sell your health data to third parties
  • Share your health data with third parties for their advertising or marketing
  • Use your health data for purposes other than health, medical, or fitness
  • Disclose your health data without your explicit consent (except as required by law)

Your Health Data Rights

  • You control which health data types are synced
  • You can revoke health permissions at any time
  • You can request deletion of all health data
  • Health data is encrypted and stored securely
  • Health data is never used to train AI models for other users

Medical Disclaimer

IMPORTANT: Pithy is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease. The Service provides information and insights for personal tracking and awareness only. Always consult qualified healthcare professionals for medical advice.

8. Third-Party Integrations

OAuth Connections

When you connect third-party services (Spotify, Google Calendar, Fitbit, etc.):

  • You authorize Pithy to access data from those services
  • You are responsible for maintaining those connections
  • We will only access data you have explicitly authorized
  • You can disconnect integrations at any time
  • The terms and privacy policies of those services also apply

Third-Party Services

We integrate with third-party services for:

  • Authentication (OAuth providers)
  • AI processing (OpenAI, Anthropic, etc.)
  • Voice transcription
  • Cloud infrastructure
  • Payment processing (if applicable)

We are not responsible for the practices or policies of these third-party services.

9. Intellectual Property

Your Content

You retain all ownership rights to content you upload or create in Pithy ("Your Content"). By using the Service, you grant us a limited license to:

  • Store, process, and display Your Content to provide the Service to you
  • Generate embeddings and metadata to enable search and AI features
  • Create backups for reliability and disaster recovery
  • Process Your Content as necessary to provide features you use

This license is:

  • Non-exclusive (you can use your content elsewhere)
  • Personal (limited to providing the Service to you)
  • Revocable (ends when you delete your content or account)
  • Not transferable to third parties for their purposes

Our Intellectual Property

The Pithy Service, including all software, designs, text, graphics, logos, and trademarks, is owned by Pithy or our licensors. You may not:

  • Copy, modify, or reverse engineer our software
  • Use our trademarks without permission
  • Remove or alter any copyright or trademark notices
  • Create derivative works based on the Service

Open Source

Some components of Pithy use open source software. Those components are licensed under their respective open source licenses.

10. Vaults and Collaboration (When Available)

If you use vault features to share knowledge with other users:

  • You control which knowledge items are in each vault
  • Vault members can view and potentially edit items in that vault
  • You are responsible for managing vault membership
  • Shared content must comply with these Terms
  • We are not responsible for disputes between vault members
  • You can leave a vault or remove your items at any time

11. Payment Terms (If Applicable)

Subscription Plans

If Pithy offers paid subscription plans:

  • Fees are charged in advance on a recurring basis (monthly, annually, etc.)
  • Fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice
  • You can cancel your subscription at any time
  • Cancellation takes effect at the end of your current billing period
  • Upon cancellation, you may lose access to paid features

Payment Processing

  • Payments are processed by third-party payment processors
  • You authorize us to charge your selected payment method
  • You must provide accurate and current payment information
  • Failed payments may result in service suspension

Free Tier

If we offer a free tier:

  • Free tier features may be limited
  • We may change or discontinue free tier features at any time
  • Free tier usage may be subject to usage limits

12. Service Availability and Modifications

Availability

We strive to keep Pithy available 24/7, but we do not guarantee:

  • Uninterrupted access to the Service
  • Error-free operation
  • Specific uptime percentages
  • Availability during maintenance windows

Modifications

We may:

  • Modify, suspend, or discontinue any feature or the entire Service
  • Change these Terms with notice
  • Update the Service to improve functionality or security
  • Migrate to new infrastructure or technologies

For material changes, we will provide reasonable notice when possible.

13. Data Backup and Loss

Our Backups

We maintain regular backups for disaster recovery. However:

  • Backups are for our internal recovery purposes
  • We do not guarantee the ability to restore specific items or time points
  • Backups may have a retention period after which they are deleted

Your Responsibility

You are responsible for:

  • Maintaining your own backups of critical data
  • Using export features to download your data periodically
  • Understanding that data deletion is permanent

14. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains:

  • What information we collect
  • How we use and protect your information
  • Your privacy rights and choices
  • How to contact us about privacy concerns

The Privacy Policy is incorporated into these Terms by reference.

15. Termination

By You

You may terminate your account at any time by:

  • Using the account deletion feature in settings
  • Contacting our support team
  • Ceasing to use the Service

Upon termination:

  • Your data will be deleted as described in our Privacy Policy
  • You lose access to the Service immediately
  • Subscription fees are not refunded (except as required by law)

By Us

We may suspend or terminate your account if:

  • You violate these Terms or our policies
  • Your account is used for illegal activities
  • Your use threatens the security or stability of the Service
  • We are required to do so by law
  • Your payment fails (for paid accounts)

We will provide notice when reasonably possible. For serious violations, we may terminate immediately without notice.

Effect of Termination

Upon termination:

  • Your access to the Service ends immediately
  • Your data will be deleted according to our Privacy Policy
  • Sections of these Terms that should survive (warranties, indemnification, limitations of liability) remain in effect

16. Disclaimers and Limitations of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF RESULTS
  • SECURITY OR PRIVACY

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • AI-generated content will be accurate or reliable

Medical and Health Disclaimers

  • Pithy is not medical advice and is not a substitute for professional medical care
  • AI-generated health insights are for informational purposes only
  • Always consult healthcare professionals for medical decisions
  • We are not responsible for health outcomes based on Service use

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE ARE NOT LIABLE FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM (OR $100 IF YOU PAID NOTHING)

This limitation applies to:

  • Service errors, bugs, or downtime
  • Data loss or corruption
  • Security breaches or unauthorized access
  • Third-party integrations or services
  • AI-generated content or errors
  • Any other claim related to the Service

Exceptions

Some jurisdictions do not allow exclusion of certain warranties or limitations of liability. In those jurisdictions, the above limitations apply only to the extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Pithy, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your Content or data you upload
  • Your negligence or misconduct

18. Dispute Resolution

Governing Law

These Terms are governed by the laws of Australia, without regard to conflict of law principles.

Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve disputes through good faith negotiations.

Venue

If arbitration does not apply, disputes shall be resolved in the courts of Australia, and you consent to personal jurisdiction there.

19. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies we reference, constitute the entire agreement between you and Pithy.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger or acquisition.

Force Majeure

We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, or internet outages.

Notice

We may provide notices to you via:

  • Email to your registered email address
  • In-app notifications
  • Posting on our website

Export Controls

You agree to comply with all export and import laws and regulations applicable to the Service.

Updates to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

Appendix: Key Definitions

  • "Service": The Pithy platform, including website, web app, mobile apps, API, and all related services
  • "You" or "User": The person or entity using the Service
  • "Content": Any data, text, images, audio, or other information you upload or create
  • "Third-Party Service": Any external service you connect to Pithy (Spotify, Fitbit, etc.)
  • "Health Data": Any health or fitness information collected from Apple Health, Android Health Connect, Fitbit, or similar sources
  • "Knowledge Item": A discrete piece of information stored in your Pithy instance
  • "Vault": A collection of knowledge items that can be shared with other users
  • "API Key": An authentication token for programmatic access to the Pithy API
